These terms govern access to the Codidge platform — the web dashboard at admin.codidge.com, the Codidge mobile application, and the websites, storefronts and APIs we operate on behalf of subscribing organizations.
These Terms of Use (the "Terms") form a binding agreement between Codidge Technology Studio ("Codidge", "we", "us") and the organization that subscribes to the platform (the "Organization"), together with every person the Organization authorizes to use it ("you", "User").
You accept these Terms when you check the acceptance box while setting your password on first sign-in, when you sign in to the platform, or when your Organization signs an order form or service agreement that references them. If you do not agree, do not use the platform.
Where your Organization has signed a separate written agreement with Codidge, that agreement controls to the extent it conflicts with these Terms.
2. Definitions
"Platform" — the Codidge web dashboard, the Codidge mobile application, the public websites and storefronts we generate and host for Organizations, and the APIs, background services and notifications that support them.
"Organization" — the business entity that subscribes to the Platform. An Organization may operate one or more Locations (also called tenants or branches) under a single account.
"User" — an individual account created under an Organization: an owner, administrator, manager or operator invited by that Organization.
"Organization Data" — everything an Organization or its Users put into the Platform: products, services, orders, bookings, prices, media, website content, staff records, and records about the Organization's own customers.
"End Customer" — a person who buys from, books with, or submits a form to an Organization through a website, storefront or channel the Platform powers.
"AI Features" — Platform functions that generate or transform content using machine learning models, including website generation, social content, printable assets, image generation and text assistance.
3. Accounts are created by invitation
The Platform is not open for self-registration. Accounts are created by Codidge or by an administrator of an Organization, who supplies an email address and a temporary password. On first sign-in you are required to set your own password and to accept these Terms and the Privacy Policy before the account becomes usable.
You must be at least 18 years old and authorized by the Organization to act on its behalf. You are responsible for the accuracy of the information in your profile.
Accounts are personal. Do not share credentials, and do not let another person use your account. If you believe your credentials have been compromised, change your password and notify us at info@codidge.com without delay.
4. Roles, permissions and Organization control
Access inside the Platform is governed by the role and permissions your Organization assigns to you, and by the Locations you are attached to. Administrators of your Organization can grant, change and revoke your access, view activity carried out under your account, and disable it at any time.
The Organization — not Codidge — decides who may join, what each User may see, and what happens to Organization Data. Requests to change your access or to remove your account should go to your Organization's administrator first.
5. Acceptable use
You agree not to:
use the Platform for anything unlawful, fraudulent, or in breach of a third party's rights;
upload malware, or attempt to probe, scan, disrupt or gain unauthorized access to the Platform, its infrastructure, or any other Organization's data;
circumvent authentication, rate limits, usage quotas, or the permission model;
reverse engineer, decompile, or copy the Platform, or use it to build a competing product;
resell, sublicense or provide the Platform to a third party except as expressly permitted by your Organization's subscription;
upload personal data you have no lawful basis to process, or sensitive categories of data (health records, government identifiers, biometric data, payment card numbers) into free-text fields;
send unsolicited bulk messages, or use contact records exported from the Platform for purposes the contact has not agreed to;
use AI Features to generate content that is deceptive, defamatory, infringing, or that impersonates a real person or business without authorization.
We may suspend access immediately, without notice, where continued use presents a security risk, a legal risk, or a risk to other Organizations on the Platform.
6. Organization Data and ownership
Organization Data belongs to the Organization. Codidge claims no ownership over it.
You grant Codidge a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display and process Organization Data strictly as needed to operate the Platform, provide support, keep backups, prevent abuse, and deliver the features the Organization has enabled — including publishing content to the Organization's own website, storefront and channels.
The Organization is responsible for the lawfulness of the data it puts into the Platform, for having a basis to process records about its End Customers, and for the accuracy of prices, tax settings, product descriptions, availability and any other content published through the Platform.
We may generate aggregated, de-identified statistics about Platform usage that cannot reasonably be linked back to an Organization, a User or an End Customer, and use them to operate, secure and improve the Platform.
7. AI Features
Parts of the Platform generate text, layouts, images and marketing assets using third-party machine learning models. To do that, the prompts and the context you select — such as the Organization's AI profile, product catalogue, or a chosen image — are sent to those providers for processing.
AI output is a draft, not advice, and is not guaranteed to be accurate, original, or fit for any particular purpose. You are responsible for reviewing generated content before publishing it, and for making sure it is truthful and complies with advertising, pricing and consumer-protection rules that apply to your business.
AI Features may consume credits or be limited by your Organization's plan. Availability, models and limits can change.
8. Subscription, fees and billing
Access to the Platform depends on an active subscription or service agreement between Codidge and the Organization. Plan scope — the modules enabled, the number of Locations, usage limits and AI credits — is set in that agreement or in the plan selected in the Platform.
Payments are processed by our payment provider, Stripe. Codidge does not store full payment card numbers. Fees are stated exclusive of taxes unless said otherwise, and are non-refundable except where required by law or expressly agreed in writing.
If a payment fails or a subscription lapses, we may downgrade or suspend access after notifying the Organization. Organization Data is retained for a limited window after suspension so the Organization can settle or export (see section 12).
9. Third-party services and integrations
The Platform connects to third-party services — payment processing, email delivery, push notification gateways, social and commerce integrations, mapping and AI providers. When an Organization connects an integration, it authorizes Codidge to exchange the data that integration requires.
Those services are governed by their own terms and privacy policies. Codidge is not responsible for a third party's availability, pricing, changes to its API, or its handling of data once transferred at your instruction.
10. Intellectual property
The Platform, its software, design system, templates, documentation, and the Codidge name and marks are owned by Codidge and its licensors. Nothing in these Terms transfers those rights.
Subject to an active subscription and to these Terms, Codidge grants the Organization a limited, non-exclusive, non-transferable right to access and use the Platform for its internal business operations and for operating its own customer-facing channels.
Feedback you send us may be used freely and without obligation to you.
11. Availability, support and changes
We work to keep the Platform available and performant, but we do not promise uninterrupted service. Maintenance, third-party outages, and factors outside our control can interrupt access.
We may add, change or remove features. Where a change materially reduces functionality your Organization relies on, we will give reasonable prior notice to the Organization's administrators.
Support is provided to the Organization's designated contacts through the channels stated in its agreement, or at info@codidge.com.
12. Suspension, termination and data return
An Organization may stop using the Platform at any time in accordance with its subscription terms. Codidge may suspend or terminate access for non-payment, breach of these Terms, or where required by law.
After termination we retain Organization Data for a limited period so it can be exported, then delete or anonymize it in line with the retention rules in our Privacy Policy. Backups roll off on their own schedule.
An individual User account can be deactivated by the Organization at any time, and a User can request deletion of their own account from the profile screen of the Platform or the mobile app. Deleting a User account does not delete Organization Data that the Organization is entitled to keep.
13. Disclaimers
To the fullest extent permitted by law, the Platform is provided "as is" and "as available". Codidge disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or trade usage.
Codidge is not your accountant, tax adviser or lawyer. Tax rates, invoices, reports and documents produced by the Platform are tools; verifying that they meet the obligations of your jurisdiction is your responsibility.
14. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, however caused.
Codidge's total aggregate liability arising out of or relating to the Platform is limited to the fees paid by the Organization to Codidge in the twelve (12) months immediately before the event giving rise to the claim.
These limits do not apply to liability that cannot be excluded by law.
15. Indemnification
The Organization will defend and indemnify Codidge against third-party claims arising from Organization Data, from content the Organization publishes through the Platform, from its use of the Platform in breach of these Terms, or from its relationship with its End Customers.
16. Governing law and disputes
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida.
Before filing a claim, the parties will attempt in good faith to resolve the dispute by writing to info@codidge.com and allowing thirty (30) days for a response.
17. Changes to these terms
We may update these Terms. The version number and the date at the top of this page always identify the current text. For material changes we will notify Organization administrators by email or in the Platform, and — where the change requires it — ask Users to accept the new version on next sign-in.
Continuing to use the Platform after the effective date means you accept the updated Terms.
